  1. GENERAL PLATFORM TERMS AND WEBSITE USE TERMS

1.1 Introduction

These General Platform Terms and Website Use Terms govern access to and use of THE HERD by CORYX, including the website located at www.herd.coryxworld.com, user accounts, trainer accounts, dashboards, booking tools, payment flows, chat tools, call facilitation, content, advertisements, and all related services, features, pages, forms, products, communications, and platform functionality.

THE HERD by CORYX is a service product of CORYX WORLD and is owned and operated under the legal entity CORYX Trading & Services. In these terms, “THE HERD”, “CORYX”, “Company”, “we”, “us”, and “our” refer to CORYX Trading & Services operating THE HERD by CORYX.

By accessing, browsing, registering for, applying to join, subscribing to, purchasing from, communicating through, or otherwise using THE HERD, you confirm that you have read, understood, and agreed to these terms and all policies referenced in them.

If you do not agree to these terms, you must not access, register for, purchase through, apply to, or use THE HERD.

1.3 Definitions

For the purpose of these terms:

“Platform” means THE HERD website, dashboards, CMS-connected services, booking tools, payment flows, messaging systems, call facilitation, digital products, advertisements, profiles, and related features.

“Client” means an end user, customer, subscriber, purchaser, or individual using THE HERD to access fitness, wellness, coaching, consultation, digital product, or related services.

“Trainer” means any approved freelancer, coach, personal trainer, nutritionist, physical therapist, life coach, specialist, consultant, or service provider offering services through THE HERD, unless separately employed by CORYX Trading & Services under a written employment agreement.

“Provider” means a Trainer, coach, consultant, nutritionist, physical therapist, life coach, or specialist approved to offer services through the Platform.

“Services” means the general wellness, fitness, coaching, subscription, consultation, in-person session, online session, product, communication, account, booking, payment, and support services available through THE HERD.

“Content” means text, photos, progress images, videos, health and fitness information, plans, programs, reviews, ratings, ebooks, video lectures, profile content, marketing assets, digital products, posts, chats, files, data, advertisements, and any other material uploaded, submitted, published, displayed, sold, or transmitted through the Platform.

“User” means any person accessing or using THE HERD, including Clients, Trainers, applicants, visitors, advertisers, administrators, and account holders.

1.4 Scope of THE HERD

THE HERD is a website-based digital platform that enables Clients to discover, book, purchase, subscribe to, and communicate with approved Trainers and Providers for general wellness, fitness, coaching, consultation, and related non-medical services.

THE HERD may process bookings, payments, subscriptions, chats, calls, digital products, user dashboards, trainer dashboards, administrative workflows, and payment distribution guidance through its website, CMS, and connected systems.

THE HERD may also display paid Trainer profile promotions, homepage banner advertisements, business advertisements, internal recommendations, marketing messages, sponsored content, and future AI-powered platform features.

1.5 No Medical Services

THE HERD is not a hospital, clinic, medical provider, emergency service, healthcare facility, diagnostic provider, rehabilitation clinic, or substitute for professional medical care.

The Platform and its Providers offer general wellness, fitness, lifestyle, training, nutrition, coaching, and educational guidance only. Services must not be used as a replacement for medical diagnosis, treatment, therapy, clinical rehabilitation, prescription advice, emergency care, or specialist medical consultation.

Clients are responsible for consulting a qualified medical professional before starting any workout, nutrition plan, physical activity, lifestyle change, supplement routine, weight-loss program, rehabilitation-related activity, or wellness program, especially if they have any medical condition, injury, disability, pregnancy, medication use, chronic illness, mental health concern, eating disorder, or other health risk.

By registering, subscribing, booking, purchasing, or participating, the Client confirms that they voluntarily choose to use the Services and accept all risks connected to fitness, training, nutrition, coaching, physical activity, wellness programs, and advice received from Providers.

1.6 Platform Role and Provider Status

Unless expressly stated in a separate written employment agreement signed by CORYX Trading & Services, Trainers and Providers on THE HERD are freelancers and independent service providers.

THE HERD may review, approve, display, manage, promote, rank, suspend, remove, and communicate with Trainers through the Platform. However, unless a Provider is formally employed by CORYX Trading & Services, the Provider remains responsible for the services, advice, communication, plans, content, qualifications, certifications, licenses, conduct, and professional obligations they provide to Clients.

THE HERD may collect payments upfront from Clients and may distribute applicable Trainer payouts after the service period or subscription payment period, according to the applicable Trainer tier, payout rules, and internal payment processes.

1.7 Account Registration

Users may be required to create an account to use THE HERD. The Platform may include separate dashboards and account types for Clients, Trainers, administrators, and other approved users.

When creating an account, applying as a Trainer, subscribing, purchasing, booking, or using any dashboard, the User agrees to provide accurate, complete, current, and truthful information.

Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account.

THE HERD may refuse registration, reject applications, verify accounts, request additional information, suspend accounts, deactivate accounts, blacklist Users, restrict access, or remove accounts if we believe that a User has violated these terms, submitted false information, created risk to the Platform, harmed another User, attempted to bypass payments, engaged in misconduct, or acted unlawfully.

1.8 Minors and Guardian Consent

THE HERD may be used by individuals under 18 years of age only with the approval, supervision, and consent of a parent or legal guardian.

If a Client is under 18, the parent or legal guardian is responsible for:

  • approving the account creation;
  • approving the subscription, booking, payment, purchase, and participation;
  • reviewing the suitability of any service, Trainer, plan, activity, or content;
  • monitoring communication and participation;
  • providing accurate health and personal information where required;
  • accepting these terms on behalf of the minor;
  • accepting all risks connected to the minor’s use of THE HERD.

By allowing a minor to use THE HERD, the parent or guardian confirms that they have read, understood, and accepted these terms and the Privacy Policy.

THE HERD may suspend or refuse access to any minor account where guardian approval cannot be verified or where we believe continued use creates risk.

1.9 Acceptable Use

Users must use THE HERD lawfully, respectfully, and only for its intended purpose.

Users must not:

  • harass, threaten, abuse, insult, defame, intimidate, stalk, exploit, discriminate against, or harm another person;
  • post, send, upload, request, or share illegal, hateful, violent, sexual, pornographic, exploitative, discriminatory, misleading, defamatory, or abusive content;
  • upload content that violates privacy, intellectual property, confidentiality, or personal rights;
  • record, screenshot, publish, distribute, or share chats, calls, plans, private profiles, progress photos, or personal data without consent;
  • bypass THE HERD payment system or attempt to move Client payments outside the Platform;
  • impersonate another person, Trainer, Client, company, or representative;
  • submit false health information, false certifications, false identity documents, false credentials, or misleading profile details;
  • misuse general wellness or fitness advice as medical treatment;
  • use the Platform for fraud, spam, scraping, reverse engineering, automated data collection, hacking, malware, phishing, or unauthorized access;
  • interfere with the Platform’s operation, CMS, security, payment flow, dashboards, or other systems;
  • use THE HERD branding, content, logo, name, designs, photos, marketing assets, or materials without written business approval;
  • encourage any person to breach these terms.

1.10 Communications Must Stay Within THE HERD

All Client-Trainer communications connected to THE HERD services must remain within the THE HERD Platform, including chats, calls, bookings, subscription management, service updates, progress discussions, payment-related communication, and service delivery communications.

Trainers may promote themselves externally to bring more Clients to THE HERD, subject to the branding and approval rules in these terms. However, Trainers must not use THE HERD to move Clients, payments, service delivery, or subscription relationships outside the Platform.

1.11 User Content

Users may upload, submit, send, publish, or provide Content through THE HERD, including but not limited to photos, videos, progress photos, body measurements, fitness goals, health-related information, chat messages, reviews, ratings, documents, certifications, IDs, plans, programs, and digital products.

Users remain responsible for their Content and confirm that they have all rights, permissions, and lawful authority required to upload, submit, sell, display, or share it.

By submitting Content to THE HERD, the User grants CORYX Trading & Services and THE HERD a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to host, store, process, reproduce, display, distribute, adapt, review, moderate, promote, use, and otherwise handle the Content for Platform operation, service delivery, marketing, support, safety, legal compliance, quality control, analytics, AI development, and business purposes, subject to the Privacy Policy.

THE HERD may remove, moderate, restrict, reject, or disable access to any Content at any time.

1.12 Reviews and Ratings

Clients may be able to submit public reviews, ratings, or feedback about Trainers and services.

Reviews must be truthful, fair, respectful, and based on genuine experience. THE HERD may remove or moderate reviews that are abusive, false, discriminatory, misleading, defamatory, irrelevant, promotional, spam-like, privacy-violating, or otherwise harmful.

THE HERD does not guarantee that reviews represent the full quality, safety, suitability, or performance of a Trainer or service.

1.13 Paid Promotions and Advertising

THE HERD may offer paid profile promotion opportunities to Trainers and may display homepage banners, internal advertisements, business advertisements, sponsored placements, featured listings, or promotional content.

Paid promotion does not guarantee bookings, Clients, revenue, visibility, ranking, performance, search position, conversion, or business results.

THE HERD may internally use User data, Platform behavior, preferences, service history, location data, profile details, and engagement data to personalize recommendations, promotions, advertisements, homepage banners, and internal platform experiences, subject to the Privacy Policy and applicable law.

1.14 Intellectual Property

THE HERD by CORYX, CORYX WORLD, CORYX Trading & Services, the THE HERD name, logo, design, concept, Platform, software, workflows, dashboards, CMS structure, branding, copy, graphics, icons, layouts, user interface, business model, visual identity, marketing assets, slogans, and related intellectual property are owned by CORYX Trading & Services or its licensors.

Users must not copy, reproduce, modify, reverse engineer, scrape, clone, distribute, sell, license, exploit, imitate, misrepresent, or create derivative works based on THE HERD, the Platform, or CORYX branding without prior written approval.

Trainers and partners may use THE HERD or CORYX branding only with prior written business approval and only in accordance with approved brand guidelines.

1.15 Availability and Changes

THE HERD may modify, update, suspend, restrict, discontinue, replace, or remove any feature, service, dashboard, payment flow, content, pricing display, promotion, subscription function, call tool, chat tool, AI feature, or advertisement at any time.

We do not guarantee that the Platform will always be available, uninterrupted, secure, error-free, or compatible with every device or browser.

1.16 Suspension, Termination, and Blacklisting

THE HERD may suspend, terminate, restrict, blacklist, or refuse access to any User, Client, Trainer, applicant, advertiser, or account holder where we believe it is necessary to protect the Platform, Users, Providers, CORYX Trading & Services, payment systems, legal compliance, business reputation, or service integrity.

Grounds for suspension, termination, or blacklisting include, without limitation:

  • breach of these terms;
  • false information;
  • fake documents, credentials, licenses, or certifications;
  • harassment, abuse, discrimination, threats, or misconduct;
  • unsafe fitness, wellness, or coaching behavior;
  • payment disputes, fraud, chargebacks, or attempted circumvention;
  • off-platform payment solicitation;
  • privacy violations;
  • misuse of personal data;
  • unauthorized branding use;
  • repeated complaints;
  • legal or regulatory risk;
  • actions that harm THE HERD’s business reputation.

Suspension, termination, or blacklisting does not automatically create any right to refund, compensation, payout, damages, reinstatement, or continued access, except where mandatory law requires otherwise.




  1. CLIENT TERMS AND CONDITIONS

2.1 Application of Client Terms

These Client Terms apply to all Clients, users, subscribers, purchasers, and individuals who register for, book, purchase, subscribe to, communicate through, or receive services through THE HERD.

The Client Terms apply together with the General Platform Terms, Privacy Policy, Cookies Policy, and any service-specific terms shown during sign-up, booking, checkout, or subscription.

2.2 Services Available to Clients

Clients may access, purchase, book, or subscribe to services that may include:

  • personal training;
  • fitness coaching;
  • nutrition coaching;
  • physical therapy-related general wellness guidance;
  • life coaching;
  • online consultations;
  • in-person sessions;
  • monthly subscriptions;
  • yearly subscriptions;
  • one-time consultations;
  • digital products, including ebooks, video lectures, programs, guides, and educational materials;
  • other general wellness, fitness, and coaching services introduced by THE HERD.

THE HERD may add, remove, modify, bundle, rename, restrict, or discontinue services at any time.

2.3 No Guarantee of Results

Fitness, wellness, coaching, nutrition, body composition, strength, performance, lifestyle, weight management, mobility, rehabilitation-related progress, and personal improvement outcomes vary by individual.

THE HERD and its Providers do not guarantee:

  • physical transformation;
  • weight loss;
  • muscle gain;
  • fat loss;
  • improved athletic performance;
  • injury recovery;
  • health improvement;
  • medical results;
  • lifestyle changes;
  • financial, emotional, or personal outcomes;
  • any specific result from any plan, consultation, subscription, or program.

Client results depend on many factors, including compliance, body type, health status, medical history, sleep, stress, nutrition, effort, training consistency, genetics, injuries, lifestyle, environment, and decisions made outside THE HERD.

2.4 Client Health Responsibility and Risk Acceptance

By registering, subscribing, booking, purchasing, participating, uploading health information, or following any plan or advice through THE HERD, the Client confirms that:

  • they voluntarily choose to participate;
  • they are responsible for determining whether the services are suitable for them;
  • they are responsible for seeking medical advice before participating;
  • they accept all risks connected to physical activity, nutrition changes, coaching, wellness guidance, and participation;
  • they are responsible for disclosing accurate and complete health, fitness, injury, medication, pregnancy, disability, and medical information to the relevant Provider where necessary;
  • they are responsible for stopping participation if they feel pain, dizziness, discomfort, illness, injury, or any unusual symptoms;
  • they are responsible for emergency decisions and personal safety.

THE HERD is not responsible for injuries, illness, health complications, allergic reactions, nutritional issues, worsening conditions, emotional distress, misuse of programs, failure to disclose medical conditions, failure to follow medical advice, unsafe exercise environments, in-person session risks, or decisions made by the Client.

2.5 In-Person Sessions

Where Clients book or participate in in-person sessions, the Client remains fully responsible for their own safety, location selection, equipment use, facility access, travel, health status, participation decisions, and conduct.

The Client accepts that in-person training, coaching, and wellness activities may involve risk, including physical injury, property damage, illness, or accidents.

THE HERD does not provide insurance for Clients and is not responsible for Client travel, facilities, personal belongings, injuries, losses, or incidents arising from in-person sessions, except where mandatory law requires otherwise.

2.6 Account and Information Accuracy

Clients must provide accurate, current, complete, and truthful information when creating an account, subscribing, booking, purchasing, completing assessments, uploading progress data, using chats, and communicating with Providers.

Clients are responsible for maintaining and updating their information.

THE HERD and Providers may rely on the information provided by the Client. THE HERD is not responsible for harm, poor service quality, unsuitable recommendations, or other consequences arising from false, incomplete, outdated, or misleading Client information.

2.7 Bookings, Subscriptions, Consultations, and Products

Clients may purchase monthly subscriptions, yearly subscriptions, one-time consultations, in-person sessions, digital products, and other services through THE HERD.

Each service may include specific descriptions, pricing, validity periods, service scope, responsibilities, availability, communication expectations, deliverables, and restrictions shown on the Platform or Provider profile.

The Client is responsible for reviewing the relevant details before purchasing.

2.8 Auto-Renewal

Certain subscriptions may renew automatically unless cancelled according to THE HERD’s cancellation process.

By purchasing an auto-renewing subscription, the Client authorizes THE HERD and its payment processors to charge the selected payment method at the applicable recurring interval until cancellation takes effect.

Clients are responsible for ensuring that their payment method remains valid and funded.

2.9 Payments

Clients may pay using accepted payment methods, which may include credit cards, debit cards, Apple Pay, and other payment methods made available through THE HERD.

All payments are collected upfront by THE HERD or its payment processor. THE HERD may then calculate and distribute Provider payouts at the end of the subscription payment period, consultation cycle, service period, or other applicable payout schedule.

Prices are set by Trainers as part of their own positioning and branding, unless THE HERD applies specific Platform rules, minimums, maximums, promotions, discounts, or pricing conditions.

Prices, fees, promotions, discounts, subscription terms, and payment methods may change from time to time.

2.10 No Refund Policy

All payments, subscriptions, bookings, consultations, in-person sessions, digital products, and purchases made through THE HERD are final and non-refundable.

Cancellation of a subscription, account, booking, or service does not entitle the Client to a refund, credit, partial refund, prorated refund, or compensation.

THE HERD may, at its sole discretion, review exceptional cases, payment errors, duplicate charges, fraud, technical failures, or cases where mandatory law requires a different result. Nothing in these terms limits any non-excludable right a Client may have under applicable law.

2.11 Cancellation

Clients may request subscription cancellation by informing THE HERD through the available support channels or account tools.

Cancellation stops future renewal according to the timing and processing rules applicable at the time of cancellation. Cancellation does not create a refund for the current, previous, unused, partially used, or remaining subscription period.

Clients should cancel sufficiently before the next billing date to avoid renewal charges.

2.12 Digital Products

Digital products may include ebooks, recorded videos, lectures, guides, plans, templates, programs, or other downloadable or viewable content.

Digital products are for the Client’s personal use only and must not be copied, shared, resold, uploaded, distributed, taught, modified, reproduced, or used commercially without written approval.

Digital product purchases are final and non-refundable, except where mandatory law requires otherwise.

2.13 Client Conduct

Clients must treat Trainers, THE HERD staff, other Users, and third parties respectfully.

Clients must not harass, abuse, threaten, insult, discriminate, solicit inappropriate services, send sexual content, share illegal content, request medical diagnosis, bypass payments, record calls without consent, misuse health advice, or act in a way that creates risk to any person or the Platform.

THE HERD may suspend, terminate, blacklist, or restrict Client accounts for misconduct.

2.14 Communication with Trainers

All communications related to THE HERD services must take place inside the Platform.

Clients must not ask Trainers to accept off-platform payments, deliver services outside THE HERD, move subscriptions outside THE HERD, or avoid THE HERD’s payment system.

THE HERD may monitor, review, store, moderate, or access chats and service-related communications for safety, quality control, support, legal compliance, dispute handling, training, analytics, and Platform improvement, subject to the Privacy Policy.

Calls are facilitated through the Platform but are not recorded unless THE HERD separately notifies Users and obtains required consent.

2.15 Reviews

Clients may submit reviews or ratings where the feature is available. Reviews must be genuine, respectful, accurate, and based on actual service experience.

THE HERD may remove or moderate reviews that breach these terms.

2.16 Client Acknowledgements

The Client acknowledges and agrees that:

  • THE HERD is not a medical provider;
  • Providers are generally freelancers unless separately employed by CORYX Trading & Services;
  • THE HERD does not guarantee Provider availability, quality, results, personality fit, service outcome, or suitability;
  • participation is voluntary;
  • Client decisions are the Client’s responsibility;
  • fitness and wellness activities involve risk;
  • no refunds are available except where THE HERD chooses or mandatory law requires otherwise;
  • THE HERD may suspend or blacklist accounts for violations.

 

  1. TRAINER, COACH, SPECIALIST AND PROVIDER TERMS

3.1 Application of Trainer Terms

These Trainer, Coach, Specialist and Provider Terms apply to all applicants, approved Trainers, coaches, nutritionists, physical therapists, life coaches, specialists, consultants, freelancers, and service providers who apply to join, create a profile, sell services, communicate with Clients, receive bookings, offer subscriptions, sell digital products, or otherwise provide services through THE HERD.

These Trainer Terms apply together with the General Platform Terms, Privacy Policy, Cookies Policy, any application form terms, payout rules, dashboard rules, campaign rules, and any separate written agreement signed with CORYX Trading & Services.

3.2 Application and Approval

Trainers must complete THE HERD’s application and approval process before offering services.

THE HERD may request information and documents including but not limited to:

  • full name;
  • contact details;
  • email address;
  • phone number;
  • ID, passport, or identity documents;
  • certifications;
  • professional licenses;
  • qualifications;
  • bank details;
  • credit card number or payment details where required for business processes;
  • portfolio;
  • social media links;
  • profile photo;
  • bio;
  • service descriptions;
  • pricing;
  • availability;
  • proof of experience;
  • other information required by THE HERD.

THE HERD may approve, reject, request more information, delay approval, suspend approval, or remove a Trainer at its sole discretion.

Approval on THE HERD does not create employment, partnership, agency, franchise, joint venture, or exclusivity unless a separate written agreement signed by CORYX Trading & Services expressly states otherwise.

3.3 Certifications and Licenses

Trainers must hold and maintain all certifications, licenses, approvals, qualifications, permits, and professional authorizations required for the services they offer.

Trainers must provide truthful, complete, and current proof of certification and licensing when requested.

Trainers must immediately notify THE HERD if any certification, license, professional status, insurance, legal permission, or qualification is suspended, expired, cancelled, restricted, disputed, or changed.

THE HERD may remove, suspend, downgrade, restrict, or blacklist any Trainer who fails to maintain required credentials or who provides false, misleading, incomplete, or expired documents.

3.4 Independent Freelancer Status

Unless separately hired by CORYX Trading & Services under a written employment agreement, Trainers are freelancers and independent service providers.

Trainers are not employees, agents, legal representatives, partners, or joint venturers of THE HERD or CORYX Trading & Services.

Trainers are responsible for their own taxes, licenses, insurance, professional obligations, service delivery, equipment, availability, location, legal compliance, client communication, professional standards, and business activities.

THE HERD may manage Platform access, bookings, payments, communication systems, profile visibility, service rules, advertising, ranking, conduct standards, quality control, and payout processes without changing the Trainer’s freelancer status.

3.5 Service Scope

Trainers may offer approved general wellness, fitness, coaching, nutrition guidance, consultation, in-person session, online session, and digital product services through THE HERD.

Trainers must not provide medical diagnosis, medical treatment, emergency care, prescription advice, clinical rehabilitation, or services outside their lawful scope, license, certification, training, and competence.

If a Trainer is a licensed professional in a regulated field, the Trainer is solely responsible for complying with all professional rules, legal requirements, ethical obligations, and scope-of-practice limitations.

3.6 Trainer Pricing

Trainers may select their own prices as part of their brand positioning, subject to THE HERD’s Platform rules, minimum pricing, maximum pricing, service categories, subscription structures, payment flows, promotional rules, and approval rights.

THE HERD may display Trainer pricing publicly and may require changes where pricing is inaccurate, misleading, unlawful, inconsistent with Platform structure, or harmful to Platform standards.

3.7 Payments, Commission Tiers and Payouts

Client payments are collected upfront by THE HERD or its payment processor. Trainer payouts are made after the end of the applicable subscription payment period, consultation cycle, service period, or payout schedule, subject to THE HERD’s review, deductions, disputes, chargebacks, refunds required by law, payment processor holds, taxes, bank fees, platform fees, and compliance checks.

THE HERD applies Trainer commission tiers based on active Clients, unless changed by THE HERD or agreed otherwise in writing:

Bronze 0–24 active Clients 55%

Silver 25–49 active Clients 60%

Gold 50–74 active Clients 65%

Plasma 75–99 active Clients 70%

Ruby 100+ active Clients 75%

THE HERD retains the remaining percentage as the Platform commission, in exchange for Platform operation, hosting, booking tools, CMS management, payment processing coordination, profile hosting, business operations, service infrastructure, support, marketing infrastructure, and administrative management.

THE HERD may update commission tiers, payout timing, tier calculations, active Client definitions, fees, deductions, payout methods, or payment processes with notice.

3.8 Active Client Calculation

Unless otherwise defined in the dashboard or a separate written policy, an “active Client” means a Client who has an active paid relationship, subscription, booking, or service purchase with the Trainer through THE HERD during the applicable calculation period.

THE HERD may determine active Client counts based on Platform records, payment status, subscription status, booking status, dispute status, and internal accounting records.

THE HERD’s Platform records will be used to calculate tiers and payouts unless a clear error is proven.

3.9 Bank Transfers and Payment Details

Trainer payouts may be made through bank transfer or another payment method approved by THE HERD.

Trainers must provide accurate and current bank/payment details. THE HERD is not responsible for delayed, failed, misdirected, rejected, or lost payouts caused by incorrect Trainer information, banking issues, payment processor delays, compliance checks, or force majeure events.

3.10 No Off-Platform Payments

Trainers must not solicit, request, accept, process, redirect, encourage, or arrange payments outside THE HERD for Clients introduced through, discovered through, subscribed through, or managed through THE HERD.

Trainers must not use THE HERD chats, calls, dashboards, profiles, ads, or Client data to bypass THE HERD’s payment system.

Violation of this clause may result in suspension, termination, blacklist, withheld payouts, removal from the Platform, legal action, damages claims, and loss of future access.

3.11 Communication Requirements

All Client communication connected to THE HERD services must stay within THE HERD.

Trainers must use THE HERD’s chat, call, booking, and support systems for service-related communications unless THE HERD gives written approval otherwise.

THE HERD may store and review chats and service communications for safety, support, quality control, compliance, dispute handling, analytics, AI development, and Platform improvement. Calls are facilitated and not recorded unless separately notified and consented to where required.

3.12 Trainer Promotion

Trainers may promote themselves externally to bring Clients to THE HERD.

Trainers may use THE HERD or CORYX branding only with prior business approval and only in the format, wording, visual identity, and conditions approved by THE HERD.

Trainers must not represent themselves as employees, official spokespersons, shareholders, partners, or agents of CORYX Trading & Services unless expressly authorized in writing.

3.13 Paid Profile Promotion

THE HERD may offer paid profile promotion, featured listings, homepage placement, internal recommendations, banner placements, boosted visibility, or other promotional tools.

Paid promotion does not guarantee Clients, bookings, revenue, conversion, ranking, retention, engagement, profile views, or results.

THE HERD may accept, reject, pause, remove, change, or limit promoted placements.

3.14 Trainer Content and Digital Products

Trainers may upload, sell, or provide digital products such as ebooks, video lectures, programs, guides, recorded content, templates, and educational materials, subject to THE HERD approval.

Trainers are responsible for ensuring that their content is lawful, original, accurate, non-infringing, safe, non-misleading, within their competence, and suitable for the stated purpose.

Trainers must not upload or sell content that infringes intellectual property rights, violates privacy, gives medical diagnosis, promotes unsafe practices, contains false claims, or breaches these terms.

3.15 Ownership of Collaborative Content

Content created in collaboration with the Trainer profile and THE HERD account, including co-branded content, promotional content, profile content, Platform campaigns, service media, and marketing material, may be used by both THE HERD and the Trainer as approved by THE HERD.

Unless otherwise agreed in writing, THE HERD may use collaborative content for Platform operation, marketing, advertising, paid ads, social media, profile display, website pages, investor documentation, case studies, internal training, and future promotions.

Trainer-created content uploaded as a digital product remains the Trainer’s responsibility and may be subject to separate commercial terms. THE HERD may host, display, promote, process, sell, distribute, and use such content for Platform purposes according to these terms and the applicable commission structure.

3.16 Trainer Responsibility and Liability

Trainers are responsible for:

  • service quality;
  • professional conduct;
  • Client communication;
  • accurate plans and guidance;
  • safe instruction;
  • staying within legal and professional scope;
  • maintaining certifications and licenses;
  • respecting privacy and confidentiality;
  • complying with THE HERD rules;
  • avoiding medical claims outside their scope;
  • maintaining appropriate insurance where needed;
  • handling in-person session safety within their professional responsibilities;
  • promptly responding to Clients according to service expectations.

Trainers must indemnify and hold harmless CORYX Trading & Services and THE HERD from claims, losses, disputes, damages, penalties, legal fees, complaints, injuries, data misuse, misconduct, negligence, intellectual property infringement, privacy violations, professional errors, or regulatory issues caused by the Trainer or their content, services, conduct, advice, or breach of these terms.

3.17 Client Data and Confidentiality

Trainers may access Client personal data, health-related information, progress photos, body measurements, goals, chat history, and other sensitive information only as needed to provide approved services through THE HERD.

Trainers must keep Client data confidential and must not copy, store outside the Platform, publish, sell, share, misuse, train external AI systems with, download, disclose, or use Client data for any unauthorized purpose.

Trainers must not contact Clients outside THE HERD for service delivery, payment circumvention, direct marketing, or unrelated purposes unless THE HERD gives written approval or the Client separately and lawfully consents through approved channels.

3.18 Suspension, Removal and Blacklisting

THE HERD may suspend, remove, restrict, blacklist, downgrade, hide, pause, or terminate a Trainer profile at any time where THE HERD believes the Trainer has breached these terms, created safety risk, caused complaints, misused data, bypassed payments, provided false credentials, harmed THE HERD’s reputation, failed quality standards, or acted unlawfully.

THE HERD may withhold disputed payouts, pause payouts, deduct chargebacks, or delay payment while investigating misconduct, disputes, fraud, legal issues, Client complaints, or suspected breach.

3.19 Trainer Acknowledgements

The Trainer acknowledges and agrees that:

  • approval is discretionary;
  • THE HERD may reject, suspend, or remove Trainers;
  • the Trainer is generally a freelancer unless separately employed;
  • the Trainer is responsible for certifications, licenses, insurance, services, and content;
  • payments are collected upfront by THE HERD and paid out after applicable service periods;
  • commission tiers may apply based on active Clients;
  • all service communication must remain inside THE HERD;
  • off-platform payments are prohibited;
  • THE HERD owns THE HERD by CORYX intellectual property;
